AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF
GEORGETOWN, TEXAS APPROVING THE "SECOND AMENDMENT
TO THE AMENDED AND RESTATED CONSENT AGREEMENT,"
BETWEEN THE CITY OF GEORGETOWN, TEXAS, PARMER RANCH
PARTNERS, L.P., PR SOUTH, INC., OWEN HOLDINGS, INC., AND
NORTHWEST WILLIAMSON COUNTY MUNICIPAL UTILITY
DISTRICT NO. 2 (aka "PARMER RANCH") CONSENTING TO ADDING
ADDITIONAL LAND TO THE DISTRICT, MODIFYING THE LAND
PLAN, REVISING THE LAND DEVELOPMENT STANDARDS, AND
ADDING PR SOUTH, INC. AND OWEN HOLDINGS, INC. AS PARTIES
TO THE CONSENT AGREEMENT (AS AMENDED); REPEALING
CONFLICTING ORDINANCES AND RESOLUTIONS; INCLUDING A
SEVERABILITY CLAUSE; AND ESTABLISHING AN EFFECTIVE DATE.
A. WHEREAS, the City, Partner Ranch Partners, L.P., a Texas limited partnership (the
"Owner"), and Northwest Williamson County Municipal Utility District No. 2 (the "District") and
re parties to that certain "Amended and Restated Consent Agreement" dated to be effective January
28, 2020 and recorded as Document No. 2020035838 in the Official Public Records of Williamson
County, Texas (the "Amended and Restated Consent Agreement" or "ARCH") (which superseded
and replaced the prior agreements between the Parties pertaining to the same subject recorded in
the Official Public Records of Williamson County, Texas as Document No. 2016001484 and
Document No. 2019092165).
B. WHEREAS, the Amended and Restated Consent Agreement pertains to the
creation and operation of the District and development of that certain 454 (+/-) acres of land
within the District described in Section 2.01(ii) and Exhibits A and B of the Amended and
Restated Consent Agreement (the "Original Land").
C. WHEREAS, by General Warranty Deed dated September 11, 2020 and
recorded as Document No. 2020110550 in the Official Public Records of Williamson
County, Texas (as subsequently corrected pursuant to that Correction General
Warranty Deed dated June 21, 2022 and recorded as Document No. 2022079402, in
the Official Public Records of Williamson County, Texas), Owner conveyed a portion
of the Original Land to PR South, Inc. ("PR South") and in connection therewith,
Owner partially assigned its rights and obligations under the ARCA to PR South
pursuant to a Partial Assignment and Delegation Agreement dated September 11,
2020.
D. WHEREAS, by General Warranty Deed dated June 20, 2022, and
recorded as Document No. 2022075119 in the Official Public Records of Williamson
County, Texas, Owner conveyed an additional portion of the Original Land to PR
South and in connection therewith, Owner partially assigned additional rights and
obligations under the ARCA to PR South pursuant to a Partial Assignment and
Delegation Agreement dated June 20, 2022.

E. WHEREAS, by Resolution No. 080823-5.13, the City Council approved the "First
Amendment to Amended and Restated Consent Agreement," (the `'first Amendment") revising
certain provisions to conform to the "Second Amendment to Wastewater Services Agreement,"
approved by that same resolution, which First Amendment is dated to be effective on December
7, 2023 and recorded in the Official Public Records of Williamson County as Document No.
2024021428.
F. WHEREAS, By petition received by the City on April 16, 2024, the City
Council was requested to consent to the annexation into the District of an additional 33.12
acres of land located within the City's extraterritorial jurisdiction and contiguous to the
Original Land (the "Additional Land"). A portion of the Additional Land is owned by PR
South, and the remainder of the Additional Land is owned by Owen Holdings, Inc. ("Owen
I loldings"). WHEREAS, the City has also been requested to amend the Amended and Restated
Consent Agreement to: (1) modify the Land Plan attached as Exhibit D to the Amended and
Restated Consent Agreement to include the Additional Land, (2) revise Land Development
Standards attached as Exhibit E-1 to the Amended and Restated Consent Agreement; (3) add
PR South and Owen Holdings as parties to the Amended and Restated Consent Agreement.
G. WHEREAS, the City has determined that inclusion of the Additional Land
within the boundaries of the District and governing the development of the Additional Land
in accordance with the Amended and Restated Agreement, as amended by the First
Amendment and the Second Amendment, will facilitate the orderly development of the
Additional Land.
H. WHEREAS, the City has determined that the requested amendments to the
Land Plan and the Land Development Standards are reasonable and acceptable to the City.
I. WHEREAS, the Second Amendment to the Amended and Restated Consent
Agreement attached to this Ordinance as Exhibit A expresses the City Council's consent
to annex the Additional Land to into the District's boundaries, and approves revisions to
the Land Plan and Land Development Standards; and
J. WHEREAS, the City Council of the City of Georgetown finds that it has the
authority approve the Second Amendment to the Amended and Restated Consent
Agreement pursuant to Section 212.172 of the Texas Local Government Code.
NOW, THEREFORE BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
GEORGETOWN, TEXAS, THAT:
Section 1. The meeting at which this ordinance was approved was in all things
conducted in compliance with the Texas Open Meetings Act, Texas Government Code, Chapter
551.
Section 2 The facts and recitations contained in the preamble of this ordinance are
hereby found and declared to be true and correct and are incorporated by reference herein and
expressly made a part hereof, as if copied verbatim. The City Council hereby finds that this

ordinance complies with the Vision Statement of the City of Georgetown 2030 Comprehensive
Plan.
Section 3. The City Council hereby adopts and approves the Second Amendment to
the Amended and Restated Consent Agreement in substantially the form attached as Exhibit A.
Exhibit A is incorporated into this Ordinance for all purposes by this reference.
Section 4. Except as otherwise provided in the Second Amendment to the Amended
and Restated Consent Agreement attached as Exhibit A, the provisions of the Amended and
Restated Consent Agreement and the First Amendment to the Amended and Restated Consent
Agreement remain in full force and effect.
Section 5. If any provision of this ordinance or application thereof to any person or
circumstance, shall be held invalid, such invalidity shall not affect the other provisions, or
application thereof, of this ordinance which can be given effect without the invalid provision or
application, and to this end the provisions of this ordinance are hereby declared to be severable.
Section 6. The Mayor is hereby authorized to execute this Ordinance and the Second
Amendment to the Amended and Restated Consent Agreement attached as Exhibit A and the City
Secretary to attest. The Second Amendment to the Amended and Restated Consent Agreement and
this Ordinance shall become effective in accordance with the provisions of the Charter of the City
of Georgetown.

SECOND AMENDMENT
TO AMENDED AND RESTATED CONSENT AGREEMENT
(Northwest Williamson County MUD No. 2)

This Second Amendment to the Amended and Restated Consent
Agreement (the "Second Amendment") is between the City of Georgetown, Texas (the
a home -rule city located in Williamson County, Texas; Parmer Ranch
Partners, L.P., a Texas limited partnership, 4718 Mill Creek, Dallas, TX 75244,
("Owner"); PR South, Inc., a Texas corporation ("PR South"), Owen Holding, Inc., a
Texas corporation ("OHI"), and Northwest Williamson County Municipal Utility
District No. 2, a municipal utility district created by the Texas Commission on
Environmental Quality pursuant to Article XVI, Section 59 of the Texas Constitution
and Chapters 49 and 54 of the Texas Water Code (the "District"). The City, Owner,
PR South, OHI and the District are sometimes collectively referred to herein as the
"Parties."
RECITALS
A. WHEREAS, the City, Owner, PR South and the District are parties to that
certain "Amended and Restated Consent Agreement" dated to be effective January 28, 2020
and recorded as Document No. 2020035838 in the Official Public Records of Williamson
County, Texas (the "Amended and Restated Consent Agreement" or "ARCA") (which
superseded and replaced the prior agreements between the Parties pertaining to the same
subject recorded in the Official Public Records of Williamson County, Texas as Document
No. 2016001484 and Document No. 2019092165).
B. WHEREAS, the Amended and Restated Consent Agreement pertains to the
creation and operation of the District and development of that certain 454 (+/-) acres
of land within the District described in Section 2.01(ii) and Exhibits A and B of the
Amended and Restated Consent Agreement (the "Original Land").
C. WHEREAS, by General Warranty Deed dated September 11, 2020 and
recorded as Document No. 2020110550 in the Official Public Records of Williamson
County, Texas (as subsequently corrected pursuant to that Correction General
Warranty Deed dated June 21, 2022 and recorded as Document No. 2022079402, in
the Official Public Records of Williamson County, Texas), Owner conveyed a portion

D. WHEREAS, by General Warranty Deed dated June 20, 2022 and
recorded as Document No. 2022075119 in the Official Public Records of Williamson
County, Texas, Owner conveyed an additional portion of the Original Land to PR
South and in connection therewith, Owner partially assigned additional rights and
obligations under the ARCA to PR South pursuant to a Partial Assignment and
Delegation Agreement dated June 20, 2022.
E. WHEREAS, by Resolution No. 080823-5.B, the City Council approved the
"First Amendment to Amended and Restated Consent Agreement," (the "First Amendment")
revising certain provisions to conform to the "Second Amendment to Wastewater Services
Agreement," approved by that same resolution, which First Amendment is dated to be
effective on December 7, 2023 and recorded in the Official Public Records of Williamson
County as Document No. 2024021428.
F. WHEREAS, OHI is the owner of an approximate 20-acre tract of land (the
"OHI Tract") more particularly described in the General Warranty Deed dated August
31, 2022 and recorded as Document No. 2022105609 in the Official Public Records of
Williamson County.
G. WHEREAS, by petition from PR South, OHI and the District received by
the City on Aj)ri1 16, 2024 (the "Petition"), PR South, OHI and the District requested
the City's consent to allow the District to annex an additional 33.12 acres of land
located within the City's extraterritorial jurisdiction and contiguous to the Original
Land into the boundaries of the District (the "Additional Land"). The Additional
Land includes a portion of the OHI Tract, and PR South is the owner of the remainder
of the Additional Land.
H. WHEREAS, the Owner, OHI and PR South also requested the City to
further amend the Amended and Restated Consent Agreement to: (1) modify the Land
Plan attached as Exhibit D to the Amended and Restated Consent Agreement to
include the Additional Land, and (2) revise Land Development Standards attached
as Exhibit E-1 to the Amended and Restated Consent Agreement.
I. WHEREAS, the City has determined that inclusion of the Additional
Land within the boundaries of the District and governing the development of the
Additional Land in accordance with the Amended and Restated Agreement, as
amended by the First Amendment and the Second Amendment, will facilitate the
orderly development of the Additional Land.
J. WHEREAS, the City has determined that the amendments to the Land

Plan and the Land Development Standards requested by Owner, OHI and PR South
are reasonable and acceptable to the City.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, including the foregoing recitals and the mutual
promises, covenants, and obligations of the Parties set forth herein, the Parties agree
as follows.
AGREEMENT
1.01 Added Definitions. The following terms are added to the Definitions
in Section 2.01 of the Amended and Restated Agreement:
(a). Additional Land: means that certain 33.12 acres of land described by metes
and bounds and by sketch as "Tract 3" on Exhibit A attached to the Second Amendment.
(b). Amended and Restated Consent Agreement or "ARCA" has the meaning
given in Recital A, above.
(c). First Amendment: has the meaning given in Recital C, above.
(d). Second Amendment: means the Second Amendment to the Amended and
Restated Consent Agreement.
(e). Original Land: means that certain 454 (+/-) acres of land described by
metes and bounds and by sketch as "Tract 1" and "Tract 2" on Exhibit A attached to the
Second Amendment.
(f). Petition: has the meaning given in Recital G, above.
1.02 Revised Definitions. The following terms defined in the Amended and
Restated Agreement are repealed and replaced with the following;
(a). Agreement: means the Amended and Restated Consent Agreement, as
amended by the First Amendment and the Second Amendment.
(b). Land Means, collectively, the Original Land plus the Additional Land.
(c). Land Development Standards: means the Land Development Standards
attached as Exhibit E-1 to the Second Amendment

(d). Land Plan: means the Land Plan attached as Exhibit D to the Second
Amendment.
1.03 Annexation of Additional Land into the District. Pursuant to Section 12.07
of the Amended and Restated Consent Agreement, the City Council hereby consents to
the inclusion of the Additional Land within the boundaries of the District. The City
Council has adopted an ordinance approving the Amended and Restated Consent
Agreement, and granting its consent to annex the Additional Land into the District. No
further action will be required on the City's part to evidence its consent to the annexation
of the Additional Land into the District; however, the City agrees to provide any
additional confirmation of its consent that may be required by Owner, PR South, or the
District if required to do so.
1.04 Joinder by OHI. By execution below, OHI agrees to be a party to, and
bound by, the ARCA, as amended by the First Amendment and Second Amendment,
as it relates to the portion of the Additional Land owned by OHI.
1.05 Approval of ARCA and Prior Amendments. Owner, PR South and
OHI hereby approve, and agree to be bound by, the ARCA, as amended by the First
Amendment and this Second Amendment, as they relate to the lands owned by such
Parties, regardless of whether any such Party executed the ARCA or any prior
amendment thereto.
1.06 Exhibits. The list of exhibits in Section 16.10 in the Amended and
Restated Development Agreement is repealed and replaced with the following:

1.07 Effect on Amended and Restated Consent Agreement. Except as provided
in the First Amendment and the Second Amendment, the Amended and Restated
Agreement remains in full force and effect.
1.08 Defined Terms. Capitalized terms used in this Second Amendment that
are not otherwise defined shall have the meaning set forth in the Amended and Restated
Consent Agreement
1.09 Counterparts. This Second Amendment may be executed in multiple
counterparts, each of which shall be deemed an original instrument, and all of which,
taken together, shall constitute one and the same instrument. The signature of any part
hereto to any counterpart hereof shall be deemed a signature to and may be appended
to, any other counterpart hereof.
1.10 Effective Date. This Second Amendment shall become effective on the
latest date accompanying the signatures of the duly authorized representatives of the
Parties shown on the following signature pages.
1.11 Recordation. This Second Amendment shall be recorded in the records of
Williamson County, Texas by Owner at Owner's expense.

2. Residential Standards
Residential Development Plan: There will be a maximum of 1,278 residential units
located in the Single -Family and Cluster/ MF-2 Development Areas at final buildout.
To provide a variety of housing types and lot sizes, the Parmer Ranch master
development will deliver residential lots ranging from thirty-four (34) to eighty (80)
feet in lot width and provided as both fee simple lots and residential for sale condos.
Cluster/MF-2 Parcel 20, as illustrated on Exhibit D, shall have the flexibility to
incorporate all residential product types allowed per Table Lb-1. Additionally, the
final buildout will be subject to the following restrictions:
i. A maximum of thirty-five percent (35%) of total single family lots can be a
minimum of forty feet 40' feet wide.
ii. A maximum of 5% of total single family lots can be less than 40' if served by
an alley.
iii. A minimum of ten percent (10 %) of the total single family lots will be at least
sixty (60) feet in width.
iv. Any lot size is allowed in any Single -Family Development Area so long as the
overall lot mix as stated above.
b. Residential Architectural Design Standards: All minimum requirements pertaining to
residential lot size, setbacks, building height, and architectural standards are subject
to the restrictions described below and set forth on Table 2.1.
i. Architectural Standards for Single Family and Cluster parcels
1. Exterior Material Treatment:
a. At least 85% of the exterior surface area of all front elevations, all
street facing elevations, and all elevations facing public/private
parkland shall consist of brick, stone, or stucco (exclusive of
windows, doors or other openings):
b. The side and rear elevations not facing a public right-of-way shall
consist of at least 50% brick, stone or stucco on the first floor
(exclusive of windows, doors or other openings) and brick, stone,
stucco or cement based siding on the second floor; and
c. Street facing side of homes that back onto or are adjacent to
arterial roads or residential collectors shall consist of 85% brick,
stone or stucco on street facing side (exclusive of windows, doors
or other openings).
d. Residential Similarity Requirements of Section Sec. 6.02.050 of the
UDC in force at the time approval of this agreement.

a. The front elevation of all homes shall contain wall plane
articulation. No elevations shall be a single wall plane across the
entire width of the front elevation.
b. Each front elevation shall contain two or more masonry finishes
to complement the architectural style of the home.
c. At least a minimum of two (2) of the following design options
shall be incorporated into front elevations and included on the
architectural plans submitted for building permits:
i. Covered front porch or patio with a minimum size of
sixty (60) square feet;
ii. A garage door recessed from the primary front facade a
minimum of two feet (2'-0") for garage doors that face
the front street;
iii. Enhanced garage door materials (wood, ornamental
metal, decorative door, window inserts and hardware,
painted or stained to match house);
iv. Shed roof or trellis (at least 18" deep) above the garage
door;
V. A combination of at least two (2) roof types (e.g. hip and
gable) or two (2) different roof planes of varying height
and/or direction;
vi. Front -loaded garages set back a minimum of 25 feet
from the street lot line.
vii. The addition of one or more dormers on the front
elevation to compliment the architectural style of the
home.
viii. A side -entry or swing -in garage entry (for garage doors
that do not face the front street).
3. Overhangs
a. Roof overhang of 18" permitted within side setback.

entries into each residential neighborhood stating that parking is restricted to one

side of the street. Final sign language will be determined and agreed to by the City

2. Si na e: A Master Sign Plan must be submitted to the City for review and approval with the
application for the first preliminary plat for the Land. The following guidelines will govern
the Master Sign Plan:
a. Williams Drive — 3 primary entry monument signs allowed
b. Ronald Reagan — 4 primary entry monument signs allowed
c. Sign area for the primary monument signs may be up to 250 square feet
3. Street Yard Design
a. All unloaded Collector level or higher roadways with single-family homes backing
up to the ROW shall have a minimum 6' masonry wall with columns spaced a
minimum of 250' on center.
b. A minimum 10' wide parkway shall be provided outside of the right-of-way for
street trees and landscaping.
4. Mixed Use Parcel Design Standards: All commercial and mixed use areas of the Land will
conform with Chapter 7, Non Residential Development Standards and Chapter 8.04, Non -
Residential Landscaping Requirements of the UDC.
