CGUZ3-5-C-i A RESOLUTION OF THE CITY OF GEORGETOWN, TEXAS CONSENTING TO ASSIGNMENT OF THE CONSENT AGREEMENT AND THE PARKLAND IMPROVEMENTS AGREEMENT FOR THE SHELL ROAD MUNICIPAL UTILITY DISTRICT FROM GREEN BUILDERS, INC. TO LENNAR HOMES OF TEXAS LAND AND CONSTRUCTION, LTD.; MAKING RELATED FINDINGS; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Georgetown ("City') and Green Builders, Inc., a Texas corporation ("Original Developer") entered into that certain Consent Agreement recorded in the Official Records of Williamson County, Texas, as Document No. 2019042993 (the "Consent Agreement.") and the Parkland Improvements Agreement recorded in the Official Records of Williamson County, Texas, as Document No. 2019042992 (the "Parkland Improvements Agreement.") WHEREAS, the following documents affecting the Land were executed to be effective on September 13, 2021: (1) that certain Special Warranty Deed by and between the Original Developer and LSMA Georgetown, LLC, a Delaware limited liability company ("LSMA") recorded in the Official Public Records of Williamson County, Texas as Document No. 2021139898 whereby the Original Developer sold the Land to LSMA; (2) that certain Option Agreement by and between LSMA and Lennar Homes of Texas Land and Construction, Ltd., a Texas limited partnership, ("Lennar") whereby Lennar acquired an option to purchase the developable portion of the Land from LSMA, as evidenced by that certain Memorandum of Option Agreement recorded in the Official Public Records of Williamson County, Texas as Document No. 2021139901; and (3) that certain Assignment and Assumption Agreement between the Original Developer and Lennar attached to this Resolution as Attachment 1 (the "Assignment and Assumption Agreement') pursuant to which the Original Developer agreed to assign, and Lennar agreed to assume, the obligations of the Original Developer under the Consent Agreement and the Parkland Improvements Agreement. WHEREAS, Section 16.02 of the Consent Agreement requires consent of the City to effectuate an assignment of the Consent Agreement. WHEREAS, Section 12.13 of the Parkland Improvements Agreement requires consent of the City to effectuate an assignment of the Parkland Improvements Agreement. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS, THAT: SECTION 1: The foregoing recitals are found to be true and correct and are incorporated into this Resolution by this reference for all purposes. SECTION 2: The City Council of the City of Georgetown, Texas hereby consents to the assignment by the Original Developer and assumption by Lennar of the Consent Agreement and the Parkland Improvements Agreement, per the Assignment and Assumption Agreement attached to this Resolution as Attachment 1. SECTION 3: It is hereby officially found and determined that the meeting at which this Resolution was considered was open to the public, and public notice of the time, place, and purpose of said meeting was given, all as required by the Texas Open Meetings Act, Chapter 551, Texas Government Code. SECTION 4 The Mayor is hereby authorized to sign this Resolution and the City Secretary is authorized to attest. WITNESSETH WHEREAS, Assignor has sold to LSMA Georgetown, LLC, a Delaware limited liability company ("LSMA") and LSMA has purchased certain real property and improvements thereon described on Exhibit A attached hereto (the "Property"); and WHEREAS, Assignee shall be responsible for the development of the Property into a single-family development, and therefore Assignor has agreed to assign to Assignee all rights of Assignor under, and Assignee agreed to assume all obligations under, the contracts and agreements and obligations described herein; and NOW, THEREFORE, for and in consideration of the sum of Ten and No/100 Dollars ($10.00) and other good and valuable consideration in hand paid by Assignee to Assignor, the receipt and sufficiency of which is hereby acknowledged, Assignor does hereby ASSIGN, TRANSFER, SET OVER, CONVEY and DELIVER unto Assignee, his heirs, legal representatives, successors and assigns without recourse, all of Assignor's right, title and interest in and to the agreements, contracts and obligations described on Exhibit B attached hereto ("Assigned Agreements")and the interests created thereby, and all of the rights, benefits and privileges of Assignor thereunder, but subject to all terms, conditions, reservations and limitations set forth therein or applicable by operation of law. The parties also agree as follows: 1. Assignee hereby assumes all obligations under the Assigned Agreements and covenants from and after the date hereof and agrees to indemnify and hold Assignor harmless from any claim, demand or cause of action which may be asserted against Assignor by any person arising from a breach, violation or failure to perform any provisions of any Assigned Agreements which are alleged to have occurred subsequent to the effective date hereof. 2. All of the covenants, terms and conditions set forth herein shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns. 3. Whenever the context of this Assignment so requires, the singular shall include the plural, the plural shall include the singular, the whole shall include any part thereof, and any gender shall include all other genders. 4. Each of Assignor and Assignee agrees from time to time to execute and deliver such further assurances and other documents and to use commercially reasonable efforts to do all things which may be convenient or necessary to more effectively and completely carry out the intentions of this Assignment. 5. This Assignment shall be construed under and enforced in accordance with the laws of the State of Texas. This Assignment may be executed in one or more counterparts, each of which shall be deemed to be an original but all of which shall constitute one and the same document.
