RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GEORGETOWN VACATING AND ABANDONING EASEMENTS
PREVIOUSLY CONVEYED TO CHISHOLM TRAIL SPECIAL UTILITY
DISTRICT IN DOCUMENT NOS. 1994055209, 1998005404, 1998005405,
2007005385, 2007005386, OFFICIAL RECORDS, WILLIAMSON
COUNTY, TEXAS AND LOCATED ON PROPERTY OWNED BY
HOWARD BARKLEY WEDEMEYER DESCRIBED BY METES AND
BOUNDS AND SKETCHES IN EXHIBITS "A", "B", "C" AND "D"
ATTACHED HERETO.
WHEREAS, the City of Georgetown ("City") has received an application from
Howard Barkley Wedemeyer (the "Applicant") for the vacation and abandonment of
the above -described easements, which are "blanket" in nature, in order to clear title to
his property and facilitate the sale and/or development thereof; and
WHEREAS, the subject easements were assigned to the City pursuant to that one
certain ASSET TRANSFER AND UTILITY SYSTEM CONSOLIDATION AGREEMENT between the
City and CTSUD dated September 25, 2013 (the "Transfer Agreement"); and
WHEREAS, Applicant seeks vacation and abandonment of the subject easements
in exchange for conveyance to the City of more particularly described easement(s)
covering existing utilities currently in place on the encumbered tracts; said defined
easement(s) being more fully described by metes and bounds in Exhibits A and B and
by diagram in Exhibits A-1 and B=1 attached to the proposed WATERLINE EASEMENT
AGREEMENT attached hereto as Exhibit "E"; and
WHEREAS, pursuant to the Transfer Agreement, the City and CTSUD have filed
an application with the Public Utility Commission of Texas ("PUC") to transfer to all of
CTSUD's CCN #11590 obligations to the City and the transfer application is pending at
the PUC; and
WHEREAS, pending the approval of the transfer application by the PUC, in its
capacity as the holder of the CCN and solely for the purpose of ensuring that its CCN
obligations are met, CTSUD acknowledged and consented to the vacation and
abandonment of the subject easements at its September 17, 2015 board meeting; and

WHEREAS, upon consideration of Applicant's request for vacation and
abandonment of the subject easements, the City Council finds that a public need for the
easements no longer exists and that said easements may be vacated and abandoned
pursuant to City Ordinance No. 2009-47 relating to disposition of City property; and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF GEORGETOWN, TEXAS, THAT:
SECTION 1. The facts and recitations contained in the preamble of this
resolution are hereby found and declared to be true and correct, and are incorporated
by reference herein and expressly made a part hereof, as if copied verbatim. The City
Council hereby finds that the adoption of this resolution is not inconsistent or in conflict
with any of the City's 2030 Comprehensive Plan policies.
SECTION 2. The Mayor is hereby authorized to execute a Quitclaim Deed in
substantially the same form attached hereto as Exhibit "F" and any other conveyance
document(s) necessary to complete the vacation and abandonment of the easements
described herein and the City Secretary is authorized to attest thereto on behalf of the
City of Georgetown.
SECTION 3. This resolution shall be effective immediately upon adoption.

KNOW ALL MEN BY THESE PRESENTS:
This Waterline Easement Agreement (this "Agreement") is made on the day of
August, 2015, between Howard Barkley Wedemeyer, a resident of Harris County, Texas, whose
address is 5773 Woodway, #207, Houston, Texas 77057 (hereinafter referred to as "Grantor"),
and the City of Georgetown, a Texas home -rule municipal corporation, whose address is P.O.
Box 409, Georgetown, Texas 78627, ATTN: Georgetown City Secretary (herein referred to as
"Grantee").
1. For the good and valuable consideration described in Paragraph 2 below, Grantor
hereby GRANTS, SELLS and CONVEYS to Grantee, its successors and assigns, an
EXCLUSIVE easement and right-of-way (the "Easement") for the placement,
construction, operation, repair, maintenance, replacement, upgrade, rebuilding,
relocation and/or removal of water distribution lines and related facilities
(collectively, the "Facilities") on, over, under, and across the following described
property of Grantor, to wit (herein sometimes referred to as the "Easement Area" or the
"Property"):
That certain tract, piece or parcel of land lying and being situated
in the County of Williamson, State of Texas, more particularly
described by metes and bounds in Exhibit A and by diagram in
Exhibit A-1 attached hereto and made a part hereof for all
purposes; and
That certain tract, piece or parcel of land lying and being situated
in the County of Williamson, State of Texas, more particularly
described by metes and bounds in Exhibit B and by diagram in
Exhibit B-1 attached hereto and made a part hereof for all
purposes.
2. The Easement and the rights and privileges herein conveyed are granted for and in
consideration of the sum of One and No/100 Dollars ($1.00) and other good and
valuable consideration to Grantor in hand paid by Grantee, the receipt and sufficiency
of which are hereby acknowledged and confessed.

3. The Easement, with its rights and privileges, shall be used only for the purpose of
placing, constructing, operating, repairing, maintaining, rebuilding, replacing,
upgrading, relocating, and/or removing the Facilities.
4. The duration of the Easement is perpetual.
5. Grantor and Grantor's heirs, personal representatives, successors, and assigns are and
shall be bound to WARRANT and FOREVER DEFEND the Easement and the rights
conveyed in this Agreement to Grantee and Grantee's successors and assigns, against
every person lawfully claiming or to claim all or any part thereof, by, through or
under Grantor, but not otherwise.
6. The Easement, and the rights and privileges granted by this Agreement, are
EXCLUSIVE to Grantee, and Grantee's successors and assigns; provided, however,
that (i) Grantor reserves the right to enter upon and use the surface of the Easement
for any purpose or purposes which are not inconsistent with this grant; however, (a)
no use that interferes with or prevents the use of the Easement by Grantee as
contemplated herein will be permitted, and (b) no permanent vertical structures may
be constructed over the surface of the Easement, and (ii) in addition, Grantor
specifically reserves the right to cross the Easement Area with roads, driveways, and
sidewalks and with any and all public utilities and to grant easements for those
purposes; provided that no such easement or crossing materially interferes with or
prevents the use of the Easement by Grantee as contemplated herein.
7. Upon completion of any construction, maintenance, or repair that disturbs the surface
of the Easement Area, Grantee must fill all trenches, remove all construction debris,
and restore the surface of the Easement Area to a condition which reasonably
approximates its condition prior to the commencement of such construction,
maintenance, or repair; however, Grantee will have no obligation to replace or restore
any improvements placed on the surface of the Easement Area in violation of the
terms of this Agreement.
The Property is currently undeveloped. Grantee agrees that, in connection with the
development of the Property, Grantor or its successors and assigns may request that
the Easement and the Facilities within the Easement be relocated. Grantee agrees that
its consent to such relocation will not be unreasonably withheld, conditioned or
delayed provided that Grantor, or its successors and assigns, bears the cost of the
relocation of the Facilities and provides Grantee with a replacement easement for the
relocated facilities in substantially the same form as this Agreement. Upon
completion of such relocation and the grant of such replacement easement, Grantee
agrees to provide Grantor with a release and termination of this Agreement, in
recordable form.
9. This Agreement contains the entire agreement between the parties relating to its
subject matter. Any oral representations or modifications concerning this Agreement

shall be of no force and effect. Any subsequent amendment or modification must be
in writing and agreed to by all parties.
10. The Easement and the rights of Grantee hereunder may be assigned by Grantee, in
whole or in part and exclusively or non -exclusively, so long as the assignee utilizes
the Easement solely for the purposes authorized by this Agreement.
11. The terms of this Agreement shall be binding upon Grantor, and Grantor's heirs,
personal representatives, successors, and assigns; shall bind and inure to the benefit of
the Grantee and any permitted successors or assigns of Grantee; and shall be deemed
to be a covenant running with the land.

ACKNOWLEDGMENT AND CONSENT
CHISHOLM TRAIL SPECIAL UTILITY DISTRICT ("District") is currently the
holder of retail water CCN number 11590 ("CCN"), which includes the land which is
the subject of the proposed vacation and abandonment of easements previously
conveyed to the District in Document Nos. 1994055209, 1998005404, 1998005405,
2007005385, 2007005386, Official Records, Williamson County, Texas, and located on property
currently owned by Howard Barkley Wedemeyer, in exchange for the conveyance to the City of
Georgetown ("City") of more particularly described easement(s) covering existing utilities in
their current location. The City has contracted with the District to own and operate the
water system assets within the CCN, and the City and District have filed an application
with the Public Utility Commission of Texas ("PUC") to transfer to the City all the CCN
obligations of the District, and the application is pending at the PUC.
Therefore, in its capacity as the holder of the CCN and solely for the purpose of
ensuring that its CCN obligations are met (including the provision of continuous and
adequate retail water service to customers), the District has reviewed the request for
vacation and abandonment of the subject easements and hereby consents thereto. By
this consent, the District is not made a party to the proposed Waterline Easement
Agreement to be conveyed to the City in exchange for the subject easement
abandonment. The District's sole role is that of the CCN holder. Further, as of the date
the CCN obligations of the District are transferred to, or acquired by, the City, the
District shall have no obligations or responsibilities whatsoever to the customers or any
other person served, or to be served, by the Waterline Easement Agreement.
