A623 -1 2 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS, AMENDING CHAPTERS 2.36, 2.48 AND 2.64 OF THE CODE OF ORDINANCES; REPEALING CHAPTERS 2.52, 2.68, 2.88, 2.92, 2.96, 2.100, 2.108, 2.110, AND 2.113 RELATING TO BOARDS AND COMMISSIONS OF THE CITY; REPEALING CONFLICTING ORDINANCES AND RESOLUTIONS; INCLUDING A SEVERABILITY CLAUSE; AND ESTABLISHING AN EFFECTIVE DATE. WHEREAS, the City Charter grants the City Council the authority to establish commissions, committees, and boards to assist it in carrying out its duties in accordance with State law; and WHEREAS, the City Council directed staff to review the current City commissions, committees and boards to determine if changes should be made to increase efficiency and meet the needs of the City of Georgetown; and WHEREAS, City staff presented reports and received directions from City Council during Council Workshop sessions on October 26, 2021 and April 12 and 26, 2022; and WHEREAS, the City Council finds it to be in the best interest of the public to update the rules and regulations applicable to all City commissions, committees and boards, to remove certain boards that are either absolute or whose purpose can better be served through another board or subcommittee of Council, as set out herein. NOW THEREFORE BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF GEORGETOWN, TEXAS: Section 1. The meeting at which this ordinance was approved was conducted in compliance with the Texas Open Meetings Act, Texas Government Code, Chapter 551. Section 2. The facts and recitations contained in the preamble of this ordinance are hereby found and declared to be true and correct and are incorporated by reference herein and expressly made a part hereof, as if copied verbatim. Section 3. Chapter 2.36 of the Code of Ordinances is hereby amended and shall provide as shown in Exhibit A. Section 4. Chapters 2.52, 2.68, 2.88, 2.92, 2.96, 2.100, 2.108, 2.110, and 2.113 are hereby deleted and repleaded in their entirety. Section 2.48.050 is hereby amended to provide as follows: Sec. 2.48.050. Rules. The Commission has the power to make rules, and regulations for its own government to the extent provided for in Chapters 211 and 212 of the Local Government Code. These rules and regulations shall conform as nearly as possible with those governing the City Council and shall be subject to approval by the City Council. Section 6. Section 2.64.015 is hereby amended to provide as follows: Sec. 2.64.015. Additional Duties In addition to the Board's duties pursuant to Section 2.64.010 and Chapter 54 of the Texas Local Government Code, the Board shall make recommendations to the City Council regarding accessibility and other issues of concern to persons with disabilities. The Board will review the City's American's with Disabilities Act Transition Plan (the "ADA Transition Plan") on an annual basis and participate in the related processes to implement and/or amend the ADA Transition Plan as necessary. Section 7. All ordinances or resolutions that conflict with the provisions of this ordinance are hereby repealed, and all other ordinances or resolutions of the City not in conflict with the provisions of this ordinance shall remain in full force and effect. Section 8. If any provision of this ordinance, or application thereof, to any person or circumstance, shall be held invalid, such invalidity shall not affect the other provisions, or application thereof, of this ordinance, which can be given effect without the invalid provision or application, and to this end the provisions of this ordinance are hereby declared to be severable. Section 9. The Mayor is hereby authorized to sign this ordinance and the City Secretary to attest. This Ordinance shall become effective and be in full force and effect on March 15, 2023 in accordance with the provisions of the City Charter of the City of Georgetown. Unless otherwise specified by federal law, state law, the City Charter, or other provisions of this Code of Ordinances, Boards are responsible to and shall act as an advisory body to the Council and shall perform such duties and exercise such additional powers as may be described by ordinances and the Local Government Code not inconsistent with the provisions of the City Charter. Section 2.36.020 Duties of Members. A. Commission, committee, and board members ("Members") will represent unconflicted loyalty to the interests of the residents of Georgetown. This accountability supersedes any conflicting loyalty such as that to advocacy or interest groups and membership on other boards or staffs. This accountability supersedes the personal interest of any Member acting as an individual. B. Each Member is responsible to attend meetings prepared to discuss the issues on the agenda. C. Attendance by Members is integral to success of each Board. It is Council policy to require a minimum of 75 percent attendance of each Member at each regularly scheduled meeting including subcommittee meetings. A Member shall be allowed two excused absences for the Member's personal medical care, required medical care of a Member's immediate family member (as defined by City Ordinance), or Member's military service that shall not count against the 75 percent attendance requirement. Written notice shall be sent to a Member and the Member's City Council representative when it appears the Member may violate the attendance policy by being absent from more than 25 percent of regularly scheduled meetings, including subcommittee meetings. Excessive absenteeism may result in the Member being replaced by the Council. If a Member is removed from a Board, that position shall be considered vacant and a new Member shall be appointed to the Board in accordance with Section 2.36.040. D. Boards and their Members shall comply with applicable City ordinances, rules, and policies. E. Members are encouraged to be active in discussions and activities of the board, seeking to be innovative, creative, and freely sharing the skills and knowledge which prompted their appointment. F. Boards and their Members have no authority to expend funds or make obligations on behalf of the City unless authorized and approved by City Council or State law. G. Members shall serve without compensation, but may be reimbursed for expenses reasonably incurred by them in the performance of their duties as Members when authorized by their respective board and the City Council. Sec. 2.36.020. Eligibility, appointment, and terms A. Members shall be appointed pursuant to the City Charter. Members shall continue to serve until reappointment for that position takes place. B. The Mayor shall recommend a member to serve as chairman of each board, committee, or commission, and the City Council shall approve the recommendation by a vote of the majority of the Council, during the annual appointment process. Should the Mayor fail to recommend a chairman for each board, committee, or commission, and/or the Council fails to approve any chairman recommended by the Mayor, a majority of the Council plus one may approve appointment of a chairman to serve as chairman without a recommendation of the Mayor. The board shall select a vice-chairman by majority vote of the Members at the first meeting after the annual appointment process. Officers serve for a term of one year. C. Except as otherwise required by law, if any provisions of the Code of Ordinances, require the appointment of individuals with certain qualifications, and no such qualified individual is available to serve at the time that the appointments are made, then such other individual, otherwise qualified to serve, may be appointed. D. Unless otherwise approved by the City Council, the term of office for boards shall be two years in length with normal, yearly appointments. Unless otherwise approved by the City Council, no member shall serve more than two consecutive terms on the same board. If reappointment beyond the original two consecutive terms is approved by City Council or if a vacancy occurs, appointments shall be made to preserve staggered membership terms on the board and ensure a balance between new and continuing members. E. Annual new member orientation shall occur within two weeks after the annual appointments are made to each board. F. Unless otherwise required by law, a Member may be removed from their office or position for any reason or for no reason by a majority vote of the City Council. G. City employees are not eligible to serve as Members, unless otherwise required by law. Section 2.36.030 Filling vacated term. A. Vacancies that arise during the year shall be filled as soon as reasonably possible in accordance with the City Charter and Section 2.36.020 for original appointments. B. An appointment to fill a vacated term is not included as a term for purposes of counting consecutive terms. Section 2.36.040 Meetings. Unless otherwise required by law, Boards shall meet as needed to fulfill their purpose and duties. Public notice of Board meetings shall be provided in accordance with the provisions of the Texas Open Meetings Act. All Board meetings and deliberations shall be open to the public, except for properly noticed closed session matters, and shall be conducted in accordance with the provisions of the Texas Open Meetings Act. Section 2.36.050 Agenda. Items may be placed on the agenda by the Chair, the City Manager or designee, or at the request of a Member. A Member request to add an agenda item must be submitted with support from another Member. The party (or individual) requesting the agenda item will be responsible for preparing an agenda item cover sheet and for the initial presentation at the meeting. Items included on the agenda must be submitted to the Staff Liaison no later than one week before the Board meeting at which the agenda item will be considered. Agenda packets for regular meetings will be provided to the Members in advance of the scheduled Board meeting. Agenda packets will contain the posted agenda, agenda item cover sheets, and written minutes of the last meeting. Section 2.36.060 Quorum. A quorum shall consist of a majority of the Members. A quorum is required for the Board to convene a meeting and to conduct business at a meeting. Alternate Members, if applicable, shall serve as Members when needed to achieve a quorum. Section 2.36.070 Call to Order. Board meetings will be called to order by the Chair or, if absent, by the Vice -Chair. In the absence of both the Chair and Vice -Chair, the meeting shall be called to order by the Secretary, and a temporary Chair shall be elected to preside over the meeting. Section 2.36.080 Code of Conduct A. During Board meetings, Members shall preserve order and decorum and shall, neither by conversation or otherwise, delay or interrupt the proceedings nor refuse to obey the orders of the presiding officer or the rules applicable to the Board. B. Members shall treat each other with dignity, respect and civility. C. If a member is speaking out of turn or otherwise transgressing the rules of the Board, the presiding officer shall, or any Member may, call him/her to order, in which case he/she shall immediately refrain from such transgression, unless permitted to explain. The Board shall, if appealed to, decide the case without debate. If the decision is in favor of the member called to order, he/she may proceed, but not otherwise. Section 2.36.090. Voting. Each Member shall vote on all agenda items, except on matters involving a conflict of interest, substantial financial interest, or substantial economic interest under state law, the City's Ethics Ordinance, or other applicable Laws, Rules and Policies. In such instances the Member shall make the required disclosures, leave the dais, and refrain from participating in both the discussion and vote on the matter. Unless otherwise provided by law, if a quorum is present, an agenda item must be approved by a majority of the Board Members present at the meeting. Section 2.36.100 Parliamentary procedure. A. Robert's Rules of Order, Newly Revised, is adopted and shall prevail if there are procedural questions not addressed by provisions of the City Charter and/or the rules of procedure contained in this Chapter. In the event of conflict between the Charter or Code of Ordinances and Robert's Rules of Order, Newly Revised, the Charter and/or Code of Ordinances shall prevail. B. Motion to Approve. To approve, or ratify, an agenda item, a Member shall make a motion to approve. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. C. Motion to Adjourn. To close a meeting, a Member shall make a motion to adjourn. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. Interruptions of the speaker, debate, and amendments are not allowed. A majority vote is required. D. Motion to Recess. To take a break, a Member shall make a motion to recess. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. Interruptions of the speaker and debate are not allowed. Amendments may be made if necessary. A majority vote is required. E. Motion to Table. To postpone the question under discussion, a Member shall make a motion to table. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. Interruptions of the speaker, debate, and amendments are not allowed. A majority vote is required. F. Motion to Amend. To alter the wording of a motion, a Member shall make a motion to amend. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. Interruptions of the speaker are not allowed. Debate and amendments are allowed. A majority vote is required. G. Motion for Previous Question. To end debate and amendments after each Member has had an opportunity to speak, a Member shall make a motion for previous question. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. Interruptions of the speaker, debate, and amendments are not allowed. A two-thirds vote is required. H. Motion to Withdraw. To retract a Member's previous motion, the Member shall make a motion to withdraw. A second is not required. Interruptions of the speaker, debate, and amendments are not allowed. No vote is necessary. I. Take from the Table. To call up a question previously tabled, a Member shall make a motion to take from the table. Any Member, except the original mover, may second the motion. The Chair shall identify the question before the Board and call for the vote. Interruptions of the speaker, debate, and amendments are not allowed. A majority vote is required. Section 2.36.110 Motion to rescind or amend something previously adopted. When a question has once been determined by the Board, the same question shall not again be considered until either 90 days thereafter or by a motion to rescind or amend something previously adopted made by a Member who voted with the prevailing side of such question. Section 2.36.120 Minutes. A recording or written minutes shall be made of all open sessions of Board meetings. The Staff Liaison is the custodian of all Board records and documents. Section 2.36.130 Conflict of Law. If any provision of this Chapter conflicts with state law then it shall be and is amended to comply with and conform to state law.
