A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
GEORGETOWN, TEXAS CONDITIONALLY AUTHORIZING
ACCEPTANCE OF FEE SIMPLE TITLE TO A 0.264-ACRE LIFT
STATION LOT SITUATED IN THE J. ROBERTSON SURVEY,
ABSTRACT NO. 545, FROM CONTINENTAL HOMES OF TEXAS,
L.P. AND THE FACILITIES THEREON FROM SOUTHEAST
WILLIAMSON COUNTY MUNICIPAL UTILITY DISTRICT NO. I
WHEREAS, Continental Homes of Texas, L.P. ("Continental") has developed
several residential neighborhoods along Westinghouse Road, just east of FM 1460, known
as "Fairhaven," "Westhaven," and "Gatlin Crossing", and
WHEREAS, in order to connect to the City's wastewater system, the original
developer of Fairhaven was required to construct a wastewater lift station to service the
development, and in accordance with the City's rules and regulations, the lift station was
to be deeded to the City upon completion and acceptance; and
WHEREAS, Continental, as successor to the original developer, desires to convey
a 0.264-acre lot, being the property described in and conveyed by the General Warranty
Deeds filed as Documents No. 2017046941 and No. 2017057574 of the Official Public
Records of Williamson County, Texas (the "Lift Station Lot") to the City, and Continental
is seeking modified terms within the deed of the Lift Station Lot; and
WHEREAS, Continental, as successor to the original developer, previously
conveyed the improvements located on, under, over, and within the Lift Station Lot to
Southeast Williamson County Municipal Utility District No. 1 (the "MUD") by an
agreement dated August 19, 2020, and the MUD now desires to convey the improvements
to the City; and
WHEREAS, the City Council has determined that it is in the best interest of the
City to accept this fee simple tract via a deed with modified terms and the improvements
via an agreement agreed upon between the City and the MUD;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF GEORGETOWN, TEXAS, THAT:
SECTION 1. The facts and recitations contained in the preamble of this resolution
are hereby found and declared to be true and correct and are incorporated by reference
herein and expressly made a part hereof, as if copied verbatim.

SECTION 2. Upon satisfaction of any outstanding title matters, City Staff is hereby
authorized to accept the conveyance of the Lift Station Lot from Continental to the City
in a form substantially similar to the Special Warranty Deed attached hereto as Exhibit A
and incorporated herein.
SECTION 3. Upon satisfaction of any outstanding title matters, City Staff is hereby
authorized to accept the conveyance of the lift station improvements from the MUD to the
City in a form substantially similar to the Conveyance Agreement attached hereto as
Exhibit B and incorporated herein.
SECTION 4. The Mayor is hereby authorized to sign this Resolution and the City
Secretary to attest. This Resolution shall be effective immediately upon adoption and
execution by the Mayor.

Texas, and being more particularly described by metes and bounds in
Exhibit "B" attached to and incorporated in this Deed by reference
(collectively, the "Property").
RESERVATIONS FROM AND EXCEPTIONS TO CONVEYANCE AND
WARRANTY: This conveyance is made, delivered and accepted subject to those matters
set forth in Exhibit "C" and any and all other easements, covenants, leases, rights -of -way,
conditions, restrictions, outstanding mineral interests and royalty interests, if any, relating
to the Property, to the extent, and only to the extent, that the same may still be in force and
effect, and shown of record in the office of the County Clerk of Williamson County, Texas.

Grantor, for the consideration and subject to the Reservations From and Exceptions
to Conveyance and Warranty, GRANTS, SELLS, and CONVEYS to Grantee the Property,
together with all and singular the rights and appurtenances thereto in any way belonging,
to have and hold it to Grantee and Grantee's heirs, successors and assigns forever. Grantor
binds Grantor and Grantor's heirs, successors and assigns to warrant and forever defend all
and singular the Property to Grantee and Grantee's heirs, successors, and assigns against
every person whomsoever lawfully claiming or to claim the same or any part thereof, by,

NO. 1, a political subdivision of the State of Texas, created and operating under Chapters 49 and
54 of the Texas Water Code ("Grantor "), whose address for purposes of notice hereunder is c/o
Armbrust & Brown, PLLC, 100 Congress Avenue, Suite 1300, Austin, Texas 78701, for a full
valuable consideration in hand paid by CITY OF GEORGETOWN, a Texas home -rule

appurtenances thereto in anywise belonging, unto Grantee and Grantee's successors and assigns
forever, and Grantor does hereby bind Grantor and Grantor's successors and assigns to
WARRANT AND FOREVER DEFEND all and singular the Facilities unto Grantee and
Grantee's successors and assigns, against every person whomsoever lawfully claiming or to
claim the same or any part thereof, by, though or under Grantor, but not otherwise.
This conveyance is made in accordance with the Wastewater Service Agreement between
Grantor, Grantee, and Sentinel Land Company, LLC dated effective June 24, 2016, recorded in

"Wastewater Agreement ').
