CERTIFICATE FOR RESOLUTION EXERCISING OPTION PURCHASE
THE STATE OF TEXAS
COUNTY OF WILLIAMSON
CITY OF GEORGETOWN
We, the undersigned officers of said City, hereby certify as follows:
1. The City Council of said City convened in regular MEETING ON THE 10th DAY
OF MAY, 1976, at the city Hall, and the roll was called of the duly constituted officers
and members of the said City Council, to -wit:

J. D. Wininger
D. W. Scott
Carl Doering
Harry Gold
William Shell
and all of said persons were present, except the tollowing absentees: None, thus constituting
a quorum. Whereupon, among other business, the following was transacted as said Meeting:
a written RESOLUTION EXERCISING OPTION TO PURCHASE was duly introduced for
the consideration of said City Council and read in full. It was then duly moved and seconded
that said Resolution be adopted; and, after due discussion, said motion, carrying with it
the adoption of said Resolution, prevailed and carried by the following vote:
AYES: All members of said City Council shown present above voted "Aye."
NO ES: None.
2. That a true, full and correct copy of the aforesaid Resolution adopted at the
Meeting described in the above and foregoing paragraph is attached to and follows this
Certificate; that said Resolution has been duly recorded insaid City Council's minutes
of said Meeting; that the above and foregoing paragraph is a true, full and correct excerpt
from City Council's minutes of said Meeting pertaining to the adoption of said Resolution;
that the persons named in the above and foregoing paragraph are the duly chosen, qualified
and acting officers and members of said City Council as indicated therein; that each of
the officers and members of said City Council was duly and sufficiently notified officially
and personally in advance, of the time, place and purpose of the aforesaid Meeting, and
that said Resolution would be introduced and considered for adoption at said Meeting,
and each of said officers and members consented, in advance, to the holding of said
Meeting for such purpose; that said Meeting was open to the public, and public notice
of the time, place, and purpose of said meeting was given, all as required by Vernon's
Ann. Civ. St. Article 6252-17.
3. That the Mayor of said City has approved, and hereby approves, the aforesaid
Resolution; that the Mayor and the City Secretary of said City have duly signed said
Resolution; and that the Mayor and the City Secretary of said City hereby declare that their
signing of this Certificate shall constitute the signing of the attached and following copy
of said Resolution for all purposes.

RESOLUTION EXERCISING OPTION TO PURCHASE
WHEREAS, the Brazos River Authority - City of Georgetown, Waste Disposal Contract,
dated as of January 10, 1972, was duly executed; and
WHEREAS, pursuant to said Contract the Brazos River Authority duly issued, sold,
and delivered its Brazos River Authority - City of Georgetown, Waste Disposal Contract
Revenue Bonds, Series 1972, in the original principal amount of $55,000.00; and
WHEREAS, said bonds are subject to redemption prior to maturity, at the option of
the Authority, on any date, for the price of par and accrued interest to date of redemption,
provided written notice of such redemption is given to the Paying Agent for said Bonds,
and the redemption price is deposited with said Paying Agent, prior to the date fixed for
redemption; and
: WHEREAS, Section 18 of the aforesaid Contract reserved to the City an option to
purchase all of the Authority's right, title, and interest in and to the Sewage Project
designated as WPC-TEX-703, which was the subject matter of said Contract; and
WHEREAS, the consulting Engineers under said Contract have executed a Certificate
to the effect that said Project has been completed and placed in operation, and that all
payments under all construction and other contracts pertaining to the acquisition and con-
struction of said project have been paid.
IT IS THEREFORE RESOLVED BY THE CITY COUNCIL OF THE CITY OF
GEORGETOWN:
Section 1. That the City hereby exercises its option and right to purchase, in one
installment, oil of the Authority's right, title, and interest in and to said Project, for
a price equal to the total amount required to redeem, retire, and cancel all of the afore-
said outstanding bonds issued by the Authority, including the par or principal amount
thereof, the accrued interest to date of redemption, and the Paying Agent's charges for
redeeming said bonds, all in accordance with the aforesaid Contract.
