HomeMy WebLinkAboutRES 930413-R`3 -ESOLUTION Ni 2 4 # # U, "I a 1.3 Do all 0510101DUl WHEREAS, the City Council of the City of Georgetown, Texas, has approved upon two readings a revision of the Code of Ordinances amending the number of members to the Convention & Visitors Bureau Board-, and, EREAS, the Code of Ordinances requires the City Council of the City of Georgetown, Texas, to approve amendments to the Convention & Visitors Bureau Board Bylaws; and, WIIEREAS, the ordinance revision has required revisions to the Convention & Visitors Bureau Board Bylaws. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COTW, -111 —H �T�H (JR—RF GEORGETOWN, TEXAS, THAT: SECTION 1. The facts and recitations contained in the preamble of this resolution are hereby found and declared to be true and correct, and are incorporated by reference herein and expressly made a part hereof, as if copied verbatim. The City Council finds that this resolution implements Economic Development Policy #4 of the Century Plan -Policy Plan Element, which states, "The City will develop and promote the tourism industry in Georgetown"; and further finds that the adoption of this resolution is not inconsistent or in conflict with any other Century Plan Policies, as required by Section 2.03 of the Administrative Chapter of the Policy Plan. SECTION 2. The.Name of this Board shall be the Georgetown Convention & Visitors Board. Section 2. The purposes of this Board are to make recommendations to the Georgetown City Council concerning allocation of financial resources available to encourage tourism in our community and to raise public C) bility of local features and activities which may attract visitors to our city. At all times this Board shall act in compliance with state legislation (Section 351, Tax Code) or any subsequent legislation authorizing the collection and distribution of hotel/motel tax revenues. Section 1. The policy of the Board shall be approved by the Georgetown City Council. Section 2. The Board shall consist of ten members, one each from the following community organizations and groups: Chamber of Commerce Georgetown Heritage Society Southwestern University •- •` Industry Restaurant/Motel Industry Business Community At -Large Arts Community At -Large Tourist Attractions Country Clubs Difeetef ef GeffiFflunity Sef,,iees (ex effteie) Section 3. The members shall be appointed under the following process. The following organizations shall submit two nominees for the mayor's review: Chamber of Commerce, Downtown Georgetown Association, Heritage Society and Southwestern University. The following categories will be filled by a publie e #"New for nominations by the mayor- arts community at -large, hotel/motel industry, restaurant/motel industry, tourist attractions, country clubs, and the business community at -large. The mayor shall then make final recommendations to City Council for approval. GEORGETOWN CONVENTION & VISITORS BOARD BYLAWS Page I The public call shall be made at least six weeks prior to the beginning of the next board appointment year, and the mayor shall recommend to the City Council board members to represent these categories from nominations submitted in response to the public call. If at any time there should be no nomination for a Board vacancy from any category, the mayor shall, at his or her discretion, recommend to City Council a nominee from the appropriate organization(s) to fill the vacancy. Persons appointed to fill unexpired terms on - Board shall •• so for the completion of term of or predecessor. Section 4. Members shall be appointed for a term of two years. Members may serve a maximum of two consecutive terms but may be re-elected following an absence of two years. Each member shall be given three days written notice of the time and place of all meetings. Elected or appointed members who find that they are unable or unwilling to attend regularly -scheduled meetings of the Board shall inform the board secretary of this ct, and such members shall be replaced. for replacement of the member, upon a majority vote of the Board and the appointment of a new member bv the Citv Council. Section 6. Five voting members and the chairperson constitute a quorum for transaction of the business of the Board.. ARTICLE I Officers of - Boal, Section 1. The officers of the Board shall be a Chairperson, Vice Chairperson, and Secretary. Section 2. Officers shall be elected by members of the Board at the first meeting of each calendar year and shall serve for terms of one year beginning on February 1, or until a successor shall be elected. No officer shall be eligible for election to the same office for more than two consecutive full terms. Upon completion of the chairperson' s term, the chairperson will continue to serve on the Board in an �Avisory capacity for one year in the event his or her term as an active member has expired. Section 3. Any vacancy occurring in any office may be filled by the Board, with the replacement officer to complete the unexpired term. Section 4. The officers shall perform the following duties: a The Chairperson shall conduct all business meetings. The chairperson shall act as a -public GEORGETOWN CONVENTION & VISITORS BOARD BYLAWS Page 2 M1 M spokesperson for the Board, shall have the authority to call special meetings of the Board, and shall interpret decisions to the media and to the City Council. The chairperson shall vote only in cases of tie votes among other members. The Vice Chairperson shall assume the duties of the chairperson in his or her absence, or on occasions when the chairperson is unable to serve due to illness or other extenuating circumstances. The Secretary shall assume the duty of chairperson in the event neither the chairperson nor the vice chairperson is able to serve; shall record all of the official actions of the Board in the form of minutes which shall be kept for each Board meeting; shall inform other members in writing of specially -called meetings; and shall prepare, on consultation with the chairperson, an agenda for each meeting. Section S. There shall be an executive committee composed of the officers and chairpersons of the board committees. The executive committee will administer the business of the Board between meetings of the Board of Directors. M F, a tATJ welm =Rol Section 1. The Board shall have the power to establish committees which may work on ongoing and special projects of the promotion of tourism. Committee members need not be members of the Board of Directors; however, chairpersons of the committees shall be members of the Board. Section 2. The chairpersons of committees shall be appointed by the chairperson of the Board, subject to the approval of other members of the Board. Section 3. Standing committees report to and are responsible to the chairperson and the Board. The Board shall propose for approval by City Council amendments to the bylaws as may be required from time to time. ARTICLE VI Budget Section 1. The Board shall present a proposed budget for its annual operations to the Georgetown City Council each year. The Board shall comply with City deadlines for the preparation and presentation of its proposed budget, and the Board's fiscal year shall correspond to the City's fiscal year. GEORGETOWN CONVENTION & VISITORS BOARD BYLAWS Page 3 clz-� The Board shall have authority, subject to approval by City Council, to expend revenues generated by hotel/motel occupancy taxes which are designated by the City of Georgetown to be used for the promotion of tourism. Funds raised through grants or other means may also be utilized by the Board to promots tourism. Section 3. The Board shall not create debt or engage in deficit spending.
